Agreement to these Terms
Welcome to Shipzy, the online logistics platform owned and operated by Apex Global Logistics Inc. ("Apex", "Company", "we", "our", or "us"), accessible through https://shipzy.ph ("Platform").
These Terms and Conditions ("Terms") govern your access to and use of the Platform, including all services, features, applications, customer portals, APIs, and logistics solutions made available by Apex Global Logistics Inc. through the Shipzy brand.
By accessing, browsing, registering for, or using the Platform or any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional service-specific agreements that may apply.
If you do not agree to these Terms, you must immediately discontinue your use of the Platform and Services.

Throughout these Terms, references to the "Company," "Apex," "we," "our" or "us" refer to Apex Global Logistics Inc., while "Shipzy" refers to the Company's website, digital platform, mobile applications (if any), and related technology through which the Services are offered.
2. Definitions
For purposes of these Terms:
Platform
- Platform means the Shipzy website, customer portal, mobile applications, APIs, software, and related digital systems operated by Apex Global Logistics Inc.
Services
- Services include, but are not limited to: Freight Forwarding, Trucking, Motorized Delivery, Warehousing, E-Commerce Fulfillment, Inventory Management, Importation, Purchasing and Sourcing, Customs Coordination, Inter-Island Delivery, Last-Mile Delivery, Courier Services, Supply Chain Solutions, and other logistics-related services offered through the Shipzy Platform.
Customer
- Customer means any individual, merchant, corporation, partnership, organization, government agency, or other legal entity using the Platform or Services.
Shipment
- Shipment means any parcel, package, cargo, pallet, document, goods, merchandise, freight, or other property entrusted to Apex Global Logistics Inc. for transportation, storage, fulfillment, customs coordination, or other logistics-related services.
3. Acceptance of Bookings
Submission of a quotation request, booking request, shipment request, or service request through the Platform does not automatically create a binding agreement between the Customer and Apex Global Logistics Inc.
The Company reserves the right, at its sole discretion, to:
- accept or decline any booking;
- request additional documentation;
- require proof of ownership of goods;
- verify shipment information;
- require advance payment or security deposits;
- refuse shipments that violate applicable laws, regulations, or Company policies.
A booking shall only be deemed accepted upon written confirmation issued by Apex Global Logistics Inc. or through the Platform.
4. Services
Apex Global Logistics Inc. provides logistics management, transportation, warehousing, fulfillment, sourcing, customs coordination, and related logistics services under the Shipzy brand.
The Company may perform such Services directly or through its employees, accredited contractors, partner carriers, warehouse operators, customs brokers, freight forwarders, shipping lines, airlines, or other authorized logistics providers.
The Customer acknowledges that certain Services may involve third-party providers, and the Company shall exercise reasonable care in selecting and coordinating such providers.
5. Customer Responsibilities
The Customer agrees to:
- provide accurate shipment information;
- correctly declare weight and dimensions;
- correctly declare the value of goods;
- ensure lawful ownership of the shipment;
- package goods appropriately;
- comply with Philippine laws and regulations;
- secure all permits, licenses and import/export documentation when required.
The Customer shall remain liable for losses resulting from inaccurate declarations.
6. Prohibited Shipments
Shipzy may refuse any shipment containing, including but not limited to:
- Dangerous goods
- Explosives
- Firearms
- Ammunition
- Illegal drugs
- Counterfeit products
- Live animals
- Human remains
- Currency
- Precious metals
- Hazardous chemicals
- Radioactive materials
- Illegal products
- Perishable goods without prior approval
- Goods prohibited under Philippine law
Shipzy may immediately report illegal shipments to government authorities.
7. Packaging Requirements
Customers are responsible for proper packaging.
Shipzy shall not be liable for damages resulting from:
- inadequate packaging;
- leakage;
- improper sealing;
- fragile items packed without protection;
- improper palletization.
Shipzy reserves the right to repackage shipments at the Customer's expense where reasonably necessary.
8. Shipment Inspection
Shipzy reserves the right to inspect shipments where:
- required by law;
- requested by government agencies;
- required for safety;
- fraud is suspected;
- prohibited goods are suspected.
Such inspection may be conducted without prior notice where legally permitted.
9. Pricing and Payment
Service fees shall be based on
- weight;
- volumetric weight;
- dimensions;
- distance;
- service type;
- destination;
- storage duration;
- customs charges;
- additional handling requirements.
Additional charges may apply for
- waiting time;
- redelivery;
- failed delivery;
- incorrect addresses;
- oversized cargo;
- special handling;
- demurrage;
- storage;
- customs examinations.
Payments shall be made using approved payment methods. Shipzy reserves the right to suspend services for unpaid invoices.
10. Delivery
Delivery schedules are estimates only.
Actual delivery may be affected by:
- weather;
- traffic;
- customs clearance;
- port congestion;
- force majeure;
- government restrictions;
- carrier delays;
- recipient availability.
Shipzy does not guarantee exact delivery times unless expressly agreed in writing.
11. Failed Delivery
Additional charges may apply where:
- consignee is unavailable;
- address is incorrect;
- recipient refuses delivery;
- delivery cannot be completed due to Customer error.
Storage fees may accrue after unsuccessful delivery attempts.
12. Warehousing
Where warehousing services are provided:
- inventory shall be managed based on Shipzy procedures;
- storage charges apply according to agreed rates;
- abandoned inventory may be disposed of after legally required notices.
13. Claims
Customers must inspect shipments immediately upon delivery.
Claims must generally be submitted within the period specified in the applicable Service Agreement or Waybill and must include supporting evidence such as photographs, invoices, and proof of value.
Failure to notify Shipzy within the applicable claim period may result in denial of the claim.
14. Limitation of Liability
To the fullest extent permitted under applicable Philippine law, the liability of Apex Global Logistics Inc. arising from or relating to any Shipment or Service shall be limited to the lesser of:
- the declared value of the Shipment accepted by the Company;
- the proven actual direct loss or damage sustained by the Customer; or
- the maximum liability expressly provided under the applicable Service Agreement, Waybill, Quotation, or other written agreement.
The Company shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, including but not limited to loss of profits, business interruption, loss of goodwill, loss of contracts, or loss of anticipated savings, except where such limitation is prohibited by applicable law.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited under Philippine law.
15. Force Majeure
Shipzy shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to:
- natural disasters;
- floods;
- earthquakes;
- typhoons;
- pandemics;
- labor strikes;
- government actions;
- civil unrest;
- war;
- port closures;
- transportation interruptions;
- power failures;
- cyber incidents.
16. Intellectual Property
The Shipzy name, trademarks, logos, graphics, software, website content, text, images, databases, source code, documentation, and all other intellectual property displayed on or made available through the Platform are owned by or licensed to Apex Global Logistics Inc. and are protected under applicable intellectual property laws.
Except with the prior written consent of Apex Global Logistics Inc., no part of the Platform or its contents may be copied, reproduced, distributed, modified, published, displayed, transmitted, reverse engineered, or otherwise exploited for commercial purposes.
17. User Accounts
Customers are responsible for maintaining the confidentiality of account credentials.
Shipzy may suspend or terminate accounts for:
- fraud;
- abuse;
- unlawful activities;
- security risks;
- violation of these Terms.
18. Privacy
Shipzy processes personal information in accordance with its Privacy Policy and the Philippine Data Privacy Act of 2012. By using the Platform, Customers consent to the collection, processing, storage, and sharing of personal information necessary to provide the Services.
19. Electronic Communications
Customers agree that electronic communications, including emails, SMS messages, platform notifications, invoices, and electronic signatures, shall constitute valid communications and may satisfy legal requirements for written notices where permitted by law.
20. Third-Party Services
Certain services may be provided through accredited logistics partners. Shipzy is not responsible for the independent acts or omissions of third-party providers except to the extent required by applicable law.
21. Website Availability
The Platform is provided on an "as available" and "as is" basis. Shipzy does not guarantee uninterrupted access. Maintenance, upgrades, and technical issues may temporarily affect availability.
22. Indemnification
The Customer agrees to defend, indemnify, and hold harmless Apex Global Logistics Inc., its directors, officers, shareholders, employees, affiliates, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, losses, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- any breach of these Terms by the Customer;
- inaccurate shipment declarations;
- unlawful, prohibited, or dangerous goods;
- negligence or misconduct of the Customer;
- infringement of any third-party rights; or
- violation of applicable laws or regulations.
23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
24. Dispute Resolution
The Parties shall first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiations.
Should the dispute remain unresolved within thirty (30) calendar days from written notice by either Party, either Party may pursue appropriate legal remedies before the courts of competent jurisdiction in the Philippines, unless otherwise agreed in writing.
25. Amendments
Shipzy reserves the right to amend these Terms at any time. Revised Terms shall become effective upon posting on the Platform. Continued use of the Platform constitutes acceptance of the revised Terms.
